Purchase Terms
These Purchase Terms are specific to your purchase made through the HealthStream store at repdirect.com (the “Store”) and govern your purchases made through the Store. By clicking “Purchase” you acknowledge that you have read and understood these Purchase Terms, the Terms of Use, and Privacy Policy, and agree to be bound by them.
These Purchase Terms, together with the Terms of Use and Privacy Policy, (collectively, “Purchase Agreement”) contains the entire agreement between the parties regarding your purchase made through the Store for HealthStream’s online courses (the “Course Services”). The Course Services are available to individuals and to businesses and may be purchased as single courses or as a library. Capitalized terms used herein but not otherwise defined will have the same meanings as ascribed to such terms in the Terms of Use. If any term of these Purchase Terms conflicts with any term of the Terms of Use, the terms of these Purchase Terms shall supersede and control.
I. MAKING A PURCHASE THROUGH YOUR ACCOUNT
a. Business Accounts
For those users with a business or organizational account, you may make a purchase using the account set up by HealthStream for your particular organization. By making a purchase on the Store, you represent and warrant that you have been authorized by your organization to make such purchase.
b. Individual Consumer Accounts
To make a purchase for the use of the Course Services, or otherwise access the Course Services, you will be asked to create an account if you have not already created one, including selecting a username and password for you to access your account. You agree to take all necessary and appropriate steps to prevent unauthorized access to your account. You agree to immediately notify us by telephone or by email [CONTACT INFORMATION] if you suspect or experience any unauthorized access of your account. You are solely responsible for your account, including all associated charges and fees, even if incurred by others with or without your permission or knowledge, to the extent these charges occur before you notify us of such unauthorized access. We may require that you update your account password and/or username from time to time.
With respect to any data and materials you provide to us in connection with your account, you represent and warrant that you own all right, title and interest in and to such account data and that such account data is complete and accurate to the best of your knowledge. By providing us with account data, you grant to us and any third-party vendors that we use in connection the Course Services (“Third-Party Service Providers”) an irrevocable, unlimited, transferrable, sublicensable, worldwide, non-exclusive license to such account data, in accordance with the terms of our then-current Privacy Policy. You further consent to us using your account data, including your telephone number or email address, to provide you with Course Services, including for example, to facilitate payments, prevent fraud, and communicate with you as needed.
If you would like to modify or correct any information in your account, you may do so through your account (if available) or by contacting us.
II. PAYMENT
a. Business Accounts
We will provide you with an invoice for payment by your organization when you submit an order.
b. Individual Consumer Accounts
We will charge the payment card or other method of payment you provide at checkout when you submit your order. By purchasing the Course Services and providing us with your payment information, you acknowledge that you have read and understood these Purchase Terms, including this section. To purchase the Course Services, you must have a valid accepted payment method. If available, you agree to allow us or our third-party provider to store and access your payment information for the purposes of processing payment for any Course Services you purchase. You also agree to pay the applicable fees for the Course Services.
c. Taxes
Depending on your location and in accordance with applicable law, there may be additional taxes or fees charged to the Course Services. You will see these taxes reflected on your checkout page for your review before you submit your order or on the invoice related to the applicable purchase.
d. Cancellations and Refunds
We do not allow cancellations for any Course Services. As such, we do not provide any refunds for Course Services.
III. ACCESSING YOUR PURCHASES
After you place an order and your payment method has been confirmed, you will receive a confirmation by email for the Course Services purchased. For organizational purchases, the Course Services will be made available for assignment via the organization’s administrator account. Once the Course Services are available to you through your account, we will provide you with another email notification.
IV. COURSE SERVICE AVAILABILITY
You understand and agree that the Course Services may not be available at all times or in all locations, and that certain usage limits may apply. You further understand and agree that we, in our sole discretion, may limit, suspend, or terminate your use of any of the Course Services. You also understand and agree that we may modify or discontinue any or all of the Course Services at our sole discretion.
V. INTELLECTUAL PROPERTY RIGHTS
You understand and agree that the Course Services may contain content or features that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized in writing by HealthStream, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Course Services, in whole or in part. You further agree not to engage in or use any data mining, robots, scraping or similar data gathering or extraction methods in connection with your use of the Course Services. If you are blocked by HealthStream from accessing the Course Services (including blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Course Services other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Course Services are distributed in connection therewith are the property of HealthStream. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the technology or software underlying the Course Services. Any rights not expressly granted herein are reserved by HealthStream.
